1. Binding Agreement & Service Scope
By querying, crawling, or interacting with our web layers, you signify consent to be bound by these clauses. All software, code frameworks, and consulting parameters deployed by nubaits are subject to separate operational scopes when formalized.
We reserve the right to alter, modify, or quarantine components of our web interface at any time without notification.
2. Intellectual Matrix & Quarantine
All intellectual assets, design frameworks, source components, and 3D web logic assets rendered on this platform are proprietary properties of nubaits.
IP Handover Protocol: Source codes, asset databases, and configuration keys are transferred to the client exclusively upon the complete clearance and receipt of all outstanding project invoices.
3. Client Cooperation & API Provisioning
The execution velocity of our sprint cycles is dependent on collaborative responsiveness. Clients are required to supply necessary server credentials, third-party API configurations, and project direction feedbacks within 3 business days of official requests.
Delays in provisioning critical credentials or assets will result in subsequent timeline extensions for scoped sprint milestones.
4. Acceptance Testing & 90-Day Warranty
Upon completion of the staging phase, the client has a 14-day window to perform User Acceptance Testing (UAT). If no blocking issues are logged in this cycle, the software is deemed officially accepted.
We offer a 90-day bug-fix warranty post-deployment. This warranty covers the resolution of system exceptions or behaviors that deviate from accepted technical specification roadmaps. Changes in third-party API schemas or external hosting configurations are excluded.
5. Liability Limits & Diagnostics
nubaits supplies public web materials as-is. We accept no liability for database downtime, network speed variances, or minor rendering issues on legacy browsers.
Indemnity Cap: In all legal occurrences, our total combined liability to any client or visitor under these terms is strictly capped at the total amount of fees paid to us during the active work order.
6. Jurisdiction & Governance Vector
All transactions, dispute nodes, and compliance issues are governed by the courts of Vadodara, India, in alignment with local legal parameters.
